Welcome to BizDoc ("BizDoc," "Company," "we," "our," or "us"). These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and BizDoc Financial Systems, governing your access to and use of our websites (including bizdoc.io), embeddable widgets, application programming interfaces (APIs), mobile applications, and all related services (collectively, the "Service" or "Services").
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
If you are using the Service on behalf of an organization (such as an accounting firm, bookkeeping agency, or advisory practice), you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.
"Client" means any third-party individual or entity whose QuickBooks Online data is analyzed through the Service, including prospective clients of accounting firms who connect their QBO files via the Widget.
"Diagnostic Report" or "Report" means the Financial Health Score, letter grade (A–F), PDF analysis document, and any other output generated by the Service based on analysis of Connected Data.
"Connected Data" means the financial data accessed from a QuickBooks Online file through Intuit's OAuth2 protocol with the User's or Client's authorization.
"Partner" or "Accounting Partner" means a User who has registered for a paid subscription plan to access enhanced features of the Service.
"Widget" means the embeddable HTML/JavaScript component provided by BizDoc that Users may integrate into their websites to allow Clients to connect their QuickBooks Online files.
"QuickBooks Online" or "QBO" means Intuit Inc.'s cloud-based accounting software product and associated data accessible through Intuit's developer APIs.
BizDoc provides a lead-generation and client-screening software tool designed for accounting firms, bookkeeping agencies, and financial advisory practices. The Service enables Users to:
The Service provides algorithmic analysis based on the Connected Data available at the time of the scan. BizDoc does not guarantee that every error, discrepancy, or issue in a Client's books will be identified. The Service is not a substitute for a comprehensive financial audit, tax review, or professional accounting services.
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our reasonable control.
To use the Service, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding agreements; (c) not be prohibited from using the Service under applicable laws; and (d) if using the Service for business purposes, have authority to bind your organization.
To access certain features of the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to: (a) notify us immediately of any unauthorized access to or use of your account; (b) ensure that you log out of your account at the end of each session; and (c) not share your account credentials with any third party.
You agree to use the Service only for lawful purposes and in accordance with these Terms. The Service is intended to be used as a tool for analyzing QuickBooks Online data files that you are authorized to access, either as the file owner or with express permission from the file owner.
You agree NOT to:
Before using the Service to analyze any Client's QuickBooks Online data, you must ensure that: (a) the Client understands that their data will be accessed by a third-party service; (b) the Client has voluntarily connected their QBO file; and (c) the Client has been informed of how their data will be used. BizDoc provides a consent mechanism within the Widget, but you bear ultimate responsibility for ensuring proper authorization.
The Service integrates with Intuit's QuickBooks Online platform using Intuit's official OAuth2 authentication protocol. When a Client connects their QBO file through the Widget, they grant BizDoc read-only access to specific QBO data endpoints solely for the purpose of generating Diagnostic Reports.
BizDoc requests only the minimum OAuth scopes necessary to provide the Service:
com.intuit.quickbooks.accounting — Read-only access to accounting data (we do NOT request write permissions)openid, profile, email — User identity verification for lead captureWithin these scopes, we access only specific API endpoints: CompanyInfo, Account, and Reports (BalanceSheet, ProfitAndLoss, AgedReceivables, AgedPayables). We do NOT access individual transactions, customer/vendor contact details, bank account numbers, payroll data, or attachments. See our Privacy Policy for the complete data access table.
BizDoc cannot create, edit, delete, or modify any data in the connected QBO file. Our integration is strictly read-only. The Service analyzes existing data to generate reports; it does not alter your books in any way.
You or your Client may revoke BizDoc's access to a connected QBO file at any time:
Upon disconnection, BizDoc's access token is immediately invalidated and we can no longer retrieve any data from that QuickBooks file.
Your use of the Service in connection with QuickBooks Online is subject to Intuit's Terms of Service and developer policies. BizDoc maintains compliance with Intuit Developer Terms and undergoes regular security reviews as required.
BizDoc is an independent third-party application. Intuit Inc. does not endorse, warrant, guarantee, or assume any liability for the Service. QuickBooks® and Intuit® are registered trademarks of Intuit Inc. and are used under license.
The Service offers both free ("Starter") and paid ("Growth" or "Partner") subscription tiers. Features, scan limits, and pricing for each tier are described on our website and may be updated from time to time.
Paid subscription plans are billed in advance on a monthly recurring basis unless otherwise specified. By subscribing to a paid plan, you authorize BizDoc to charge your designated payment method for the subscription fees. Payment processing is handled by third-party payment processors (currently Stripe), and you agree to their terms of service.
We reserve the right to modify subscription pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days' notice.
You may cancel your subscription at any time through your account dashboard. Upon cancellation: (a) your access to paid features will continue until the end of the current billing period; (b) no prorated refunds will be issued for partial months; and (c) you may continue to use the free tier of the Service if available.
New Partner subscriptions are eligible for a 14-day money-back guarantee. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial paid subscription by contacting support@bizdoc.io. After 14 days, no refunds are provided.
If a payment fails, we will attempt to process the charge again. After multiple failed attempts, we may suspend or downgrade your account. You remain responsible for any unpaid fees.
BizDoc retains all right, title, and interest in and to the Service, including all software, algorithms, machine learning models, report templates, website content, Widget code, APIs, trademarks, service marks, logos, and branding ("BizDoc IP"). These Terms do not grant you any ownership rights in BizDoc IP.
Subject to your compliance with these Terms, BizDoc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. For paid subscribers, this includes the right to embed the Widget on your websites in accordance with our integration guidelines.
You retain all ownership rights to: (a) the financial data contained within your connected QBO files; (b) your account information; and (c) any content you upload or create using the Service. BizDoc claims no ownership over your data or your Clients' financial data.
If you provide suggestions, feedback, or ideas about the Service ("Feedback"), you grant BizDoc a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.
Your use of the Service involves the processing of financial data. Our collection, use, and protection of data is governed by our Privacy Policy, which is incorporated by reference into these Terms.
You are responsible for the accuracy and completeness of any data you or your Clients provide. BizDoc is not responsible for errors or inaccuracies in the Connected Data or the resulting Diagnostic Reports caused by incomplete, inaccurate, or corrupted source data.
Generated Diagnostic Reports are stored in your account for your historical reference until you delete them or terminate your account. You may export or delete your Reports at any time through your dashboard.
The Service integrates with third-party services including Intuit QuickBooks Online, payment processors (Stripe), and cloud hosting providers. Your use of these third-party services is subject to their respective terms and privacy policies.
The Service may contain links to third-party websites or services. BizDoc is not responsible for the content, privacy practices, or availability of these third-party resources.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BIZDOC IS NOT A CERTIFIED PUBLIC ACCOUNTING (CPA) FIRM, LAW FIRM, OR LICENSED FINANCIAL ADVISOR. The output generated by the Service—including Financial Health Scores, letter grades, Cleanup Estimates, Forensic Findings, and all content in Diagnostic Reports—is for informational purposes only. It does NOT constitute:
While the Service is designed to identify common bookkeeping issues and financial irregularities, we do not guarantee that every error, discrepancy, fraud, or issue will be detected. The Service uses algorithmic analysis based on available data and may not identify all problems in a Client's books. You should conduct your own due diligence before making any business decisions.
Any decisions you or your Clients make based on Diagnostic Reports—including pricing decisions, engagement terms, or business strategies—are made at your own risk. BizDoc expressly disclaims any liability for decisions made in reliance on the Service.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIZDOC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZDOC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO BIZDOC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You agree to indemnify, defend, and hold harmless BizDoc, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
You may terminate your account at any time by canceling your subscription and deleting your account through your dashboard, or by contacting support@bizdoc.io.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) we discontinue the Service; or (d) we determine that your use poses a security risk or legal liability.
Upon termination: (a) your license to use the Service immediately ends; (b) you must cease all use of the Service and remove any embedded Widgets; (c) we may delete your account data after a reasonable retention period; and (d) provisions that by their nature should survive termination will survive.
We reserve the right to modify these Terms at any time. For material changes, we will provide notice via email or a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
Before initiating any formal dispute resolution, you agree to contact us at legal@bizdoc.io and attempt to resolve the dispute informally for at least 30 days.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or another mutually agreed location.
YOU AND BIZDOC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BizDoc regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. BizDoc may assign these Terms without restriction.
BizDoc shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or third-party service outages.
